Terms of Use

These Terms of Use ("Terms") form a binding agreement between you ("you" or "Customer") and Personify Labs Inc. ("Personify Labs," "Vois," "we," "us," or "our"), governing your access to and use of the Vois design token management platform, including our website at vois.design and voisdesign.com, our web application, our MCP server, and any related APIs, integrations, and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not use the Service.

Vois helps teams manage design tokens across design and code. The Service allows you to, among other things, connect Figma files to sync design variables, audit codebases for hardcoded design values, push generated CSS variables and token definitions to GitHub repositories, and interact with your token system through a web application, an API, and a Model Context Protocol ("MCP") server intended for use with AI coding assistants and agents.

We may add, change, or remove features of the Service at any time. We will use reasonable efforts to notify you of material changes that negatively affect your use of the Service.

To use most features of the Service, you must create an account. You may register using email and password or by signing in through a supported third-party identity provider (such as Google, GitHub, or Figma). You agree to provide accurate, current, and complete information and to keep it up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at security@vois.design if you become aware of any unauthorized access to your account.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account and use the Service.

The Service allows account owners to create workspaces and invite other users as team members with defined roles and permissions. Workspace owners and admins are responsible for managing membership and access within their workspace, including promptly removing members who should no longer have access. We are not responsible for disputes between members of the same workspace regarding access to or control of workspace content.

The Service integrates with third-party platforms, including Figma and GitHub, via OAuth. When you connect a third-party account, you authorize Vois to access and act on the data and permissions you grant during that authorization flow (for example, reading Figma variable collections or creating commits and pull requests in a connected GitHub repository).

Your use of any third-party platform remains subject to that platform's own terms of service and privacy policy. We are not responsible for the availability, accuracy, or conduct of third-party platforms. You may disconnect a third-party integration at any time from your project or workspace settings.

The Service may issue API keys (including keys used to authenticate to the Vois MCP server) that allow programmatic or agent-based access to your token data. You are responsible for safeguarding your API keys and for any activity performed using them, including actions taken by AI coding assistants or agents you configure with those keys.

You may revoke and regenerate API keys at any time. We may suspend or revoke an API key if we reasonably believe it has been compromised or is being used in violation of these Terms.

Certain features of the Service require a paid subscription. Fees, billing cycles, and plan features are described on our pricing page or in an applicable order form. Paid subscriptions are billed in advance through our third-party payment processor and, unless stated otherwise, automatically renew until cancelled.

You authorize us and our payment processor to charge your designated payment method for all applicable fees. Fees are non-refundable except as required by law or as expressly stated in these Terms. We may change our fees on a going-forward basis with reasonable advance notice.

You are responsible for any applicable taxes, and fees are exclusive of taxes unless stated otherwise.

You agree not to, and not to permit others to:

• Access or use the Service to build a competing product, or scrape, reverse engineer, or resell the Service without our written permission;
• Interfere with or disrupt the integrity or performance of the Service, including through excessive automated requests, load testing, or attempts to bypass rate limits or authentication;
• Attempt to gain unauthorized access to the Service, other accounts, or connected Figma or GitHub resources;
• Upload or sync content that infringes intellectual property rights, contains malicious code, or violates applicable law; or
• Use the Service to process data in violation of applicable data protection or export control laws.

We may suspend or terminate access for accounts that violate this section.

"Customer Content" means design tokens, Figma variables, source code, repository contents, and other data you or your integrations submit to the Service. As between you and us, you retain all rights to your Customer Content.

You grant Personify Labs a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, and process Customer Content solely as necessary to provide, maintain, and improve the Service, including generating token exports, diffs, audits, and pull requests on your behalf and at your direction.

You represent that you have all rights necessary to grant this license and that your Customer Content, and our processing of it as directed by you, does not violate any third party's rights.

The Service, including its software, design, branding, and documentation (excluding Customer Content), is owned by Personify Labs Inc. and its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you to access and use the Service, no rights are granted to you by implication or otherwise. "Vois," associated logos, and marks are trademarks of Personify Labs Inc.

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

Each party agrees to protect the other party's non-public information disclosed in connection with the Service using at least the same degree of care it uses to protect its own confidential information, and no less than reasonable care, and to use such information only as necessary to perform under these Terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OUTPUT GENERATED BY THE SERVICE OR CONNECTED AI TOOLS (INCLUDING AUDITS, FIXES, OR GENERATED CODE) WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES. YOU ARE RESPONSIBLE FOR REVIEWING ANY GENERATED CHANGES BEFORE MERGING OR DEPLOYING THEM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERSONIFY LABS INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to defend, indemnify, and hold harmless Personify Labs Inc. and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

You may stop using the Service and delete your account at any time from your account settings. We may suspend or terminate your access to the Service if you materially breach these Terms and do not cure the breach within a reasonable period after notice, or immediately if necessary to prevent harm to the Service, other users, or third parties.

Upon termination, your right to use the Service ends. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction there.

We may update these Terms from time to time. If we make material changes, we will provide notice, such as by posting the updated Terms on this page with a new effective date or by emailing the address associated with your account. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms, together with any order form and our Privacy Policy, constitute the entire agreement between you and Personify Labs Inc. regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
